The Fine Print

Terminology: Client, customer, and/or company are all used interchangeably and mean the same thing. Agreement, proposal, and/or estimate are used interchangeably and mean the same thing.

Payment: We accept Cash, Personal Check, Business Check, Visa, Master Card, and American Express. Your credit will be billed by Creative Programs & Systems. All orders are processed in real-time through our secure server. Sales tax will be charged for Michigan customers only. All invoices are due by terms listed on the invoice. Any outstanding balance after the due date period is subject to the greatest $25 or 2.0% late payment fee per month.

Returns: Due to the nature of computer products, CPS does not accept returns for refunds. The only exclusion to this is 3rd party purchased hardware that is returned unopened within seven days of purchase and not damaged in any way. The unopened item will incur a 20% restocking fee.

Equipment Cancellation: To cancel an order, you must call CPS within 72 hours of ordering, before delivery of items. A 20% cancelation fee will apply. Orders can be canceled until the receipt of goods (processed). If the order was processed, then you must follow our return policy provided.

Services Cancellation: Labor is not refundable. Labor encompasses all charges, excluding hardware and software. The rest includes (but is not limited) to networking administration, virus removal, spyware removal, website design, app development, database design, software programming, search engine optimization, computer consulting, and computer repair work. The client must pay all remaining balances on the agreement within 15 days of any cancelation.

Abandoned Equipment: All equipment left at CPS's location for more than 30 days from invoice date will be salvaged or disposed of without duty to account to the customer.

Shipping: CPS will not ship items.

Warranty: The original manufacturer's standard warranties back our products. Each product will come packaged with the manufacturer's warranty statement and warranty service instructions. Any product being claimed as initially damaged or defective is subject to the manufacturer's repair and/or replacement policy. CPS reserves the right to repair/replace/remove faulty equipment under warranty at their discretion. Removal of faulty equipment will result in a full refund of the cost for that single piece of equipment. Warranty does not cover damages or defects caused by misuse, fluids, fire, flood, natural disasters, neglect or improper environment, inadequate or excessive electrical power surges, or other power irregularities, modifications, or installation of components or parts, not by a CPS employee.

Upgrades: The customer has the liberty to upgrade their computer using their own purchased components. Any upgrade performed by the customer after CPS built a customized computer nullifies the labor warranty. CPS will not offer warranty service for hardware that is not purchased directly. Any additional purchases or upgrades performed by CPS will not extend the customer's original warranty.

Data Loss: CPS is not liable - nor responsible for - data loss; customers must ensure all data is backed up before service.

Hosting: CPS is not responsible for backing up customer e-mail or website data. The customer must ensure all data is backed up on a routine basis. CPS does not guarantee any amount of uptime on our hosting services.

Unauthorized Use and Program License: The client will indemnify CPS against all claims and expenses arising from users for which the client does not have rights to or authority to use. The client will be responsible for payment of any special licensing or royalty fees resulting from the use of graphics or programs that require such payment.

Restricted and Permitted Use of CPS Property: All collective content within the CPS website: text, graphics, software, images, videos, artwork and design, and computer code are exclusively owned by CPS or third parties who have given their permission for use by CPS. No part of the site nor the content may be copied, reproduced, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, or distributed in any way to any other computer, server, website, or another medium for publication or distribution or any commercial enterprise, without CPS's prior written permission. The only exception is linking cpsmi.com using appropriate text such as "…found on cpsmi.com" and properly citing cpsmi.com as the source.

Limitation of Liability: The client agrees that it shall not hold CPS (or its agents or employees) liable for any incidental or consequential damages which arise from CPS's failure to perform any aspect of the agreement or work completed, regardless of whether such failure was caused by intentional or negligent acts or omissions of CPS or a third party. Damages excluded consist of but are not limited to: loss of profit, loss of revenue, loss of data or software, loss of use of the hardware system, loss of use of related equipment, cost of substitute or replacement equipment, "down-time," purchaser's time, injury to property, and all claims of third parties. CPS disclaims all implied warranties, including the warranty of merchantability and fitness for a particular use.

Governing Law: The State of Michigan laws shall govern any legal action brought against Creative Programs and Systems without regard to its conflict of law principles. You agree that the sole jurisdiction and venue for any arbitration arising from your use of or orders purchased from CPS shall be in Livingston County, Michigan. All actions between the parties related to purchases and sales from CPS shall be resolved by binding AAA arbitration in Livingston County, Michigan.

Agreement with all Terms and Conditions: By purchasing equipment or signing CPS's Proposal/Agreement, you are stating that you are aware of and agree to our policies, terms, and conditions, which may be amended from time to time.

Newsletters: CPS sends monthly newsletters to new clientele and will not sell your e-mail address to 3rd parties. You may choose to opt-out of the newsletter at any time by unsubscribing to the newsletter e-mail or by contacting CPS directly.

Changes: CPS reserves the right to change, alter, or update our policies at any time. We encourage you to review this page periodically for possible updates.
